All information gathered by Northern Star Conveyancing will be strictly confidential between participating businesses and Northern Star Conveyancing.

 

Contact information to Northern Star Conveyancing will be treated as confidential information. Bulk communications will only be made to those who specifically request that they receive such communications.

 

Definitions

Confidential Information means all information relating to the Northern Star Conveyancing service, its' Clients, its' business, products, or suppliers whether furnished in writing, orally or in any physical, magnetic or electrical configuration which might be considered confidential by the Company including any software, technical information, data, reports, resumes, designs, specifications and diagrams and any future developments or plans for development of the Northern Star Conveyancing service, financial, marketing and business reports and information, documents and items in which Intellectual Property rights subsist, secret methods, processes and know-how.

 

Intellectual Property” means patents, patent applications, registered trade marks and any other trade marks and designs (whether or not registered), copyright, know-how, trade secrets and confidential information of the Company.
Writing” includes all forms of electronic communication.

 

1 Confidentiality

1.1 Northern Star Conveyancing agrees to keep and maintain as confidential all and any Confidential Information which another party discloses to it.
1.2 The Company will use its best endeavours to keep the information of the Client confidential and will ensure that Non Disclosure Deeds are executed by its employees and subcontractors.
1.3 Northern Star Conveyancing will immediately notify the other party in writing if it becomes aware of any unauthorised use of Confidential Information or Intellectual Property.
1.4 The Company will not knowingly disclose any Confidential Information of a Client without the prior written consent of the Client.

 

2 Disclaimer

2.1 The Company disclaims all liability to the Client for all claims, expenses, losses, damages and costs that the Client may incur directly or indirectly as a result of the service provided by the Company, for any reason, being inaccurate or incomplete in any way or incapable of achieving any purpose including, without limitation, loss of profit and damage suffered as a result of claims by any third persons such as a customer or client of the Client.

 

3 Acknowledgments and Indemnities

3.1 The Client acknowledges that the Company does not possess a thorough working knowledge of the Client’s business.
3.2 The Client indemnifies and will keep indemnified the Company against the full amount of all claims, actions, suits, demands, proceedings, liabilities, damages, costs and expenses (on a full indemnity basis) and whether incurred or awarded against the Company that the Company may sustain or incur as a result, whether directly or indirectly, of any use by the Client of the Northern Star Conveyancing service once it has been provided by the Company to the Client.
